I. Allgemeine Bestimmungen<\/h4>\n
    \n
  1. \n

    F\u00fcr die gesamte Gesch\u00e4ftsbeziehung zwischen V.K. Metal Tech und dem K\u00e4ufer, einschlie\u00dflich k\u00fcnftiger Beziehungen, gelten ausschlie\u00dflich diese Allgemeinen Verkaufs- und Lieferbedingungen. Etwaigen Einkaufsbedingungen oder sonstigen allgemeinen Gesch\u00e4ftsbedingungen des K\u00e4ufers wird hiermit ausdr\u00fccklich widersprochen; sie finden keine Anwendung. V.K. Metal Tech beh\u00e4lt sich das Recht vor, diese Allgemeinen Verkaufs- und Lieferbedingungen f\u00fcr alle k\u00fcnftigen Gesch\u00e4ftsbeziehungen nach entsprechender Mitteilung zu \u00e4ndern.<\/p>\n<\/li>\n

  2. \n

    Besteht zwischen dem K\u00e4ufer und V.K. Metal Tech ein Rahmenvertrag, so gelten diese Allgemeinen Gesch\u00e4ftsbedingungen sowohl f\u00fcr den Rahmenvertrag als auch f\u00fcr die Einzelbestellung.<\/p>\n<\/li>\n<\/ol>\n

    II. Vertragsschluss<\/h4>\n
      \n
    1. \n

      Angebote von V.K. Metal Tech sind freibleibend und unverbindlich. Erg\u00e4nzende Unterlagen wie Abbildungen, Zeichnungen, Gewichts- und Ma\u00dfangaben sind Circa-Werte, sofern sie nicht ausdr\u00fccklich als verbindlich bezeichnet werden. Von V.K. Metal Tech zur Verf\u00fcgung gestellte Zeichnungen oder technische Unterlagen bleiben Eigentum von V.K. Metal Tech. Vertr\u00e4ge werden ausschlie\u00dflich mit Unternehmern (\u00a7 14 BGB) geschlossen, nicht mit Verbrauchern (\u00a7 13 BGB).<\/p>\n<\/li>\n

    2. \n

      Bestellungen des K\u00e4ufers sind verbindlich. Sofern V.K. Metal Tech keine gesonderte schriftliche Best\u00e4tigung erteilt, gilt die Lieferung oder Rechnung als Auftragsbest\u00e4tigung. Mit der Bestellung erkl\u00e4rt sich der K\u00e4ufer mit diesen Allgemeinen Gesch\u00e4ftsbedingungen einverstanden. V.K. Metal Tech kann den Eingang der Bestellung best\u00e4tigen; diese Best\u00e4tigung stellt keine verbindliche Annahme dar, es sei denn, dies wird ausdr\u00fccklich erkl\u00e4rt. Ein Vertrag kommt erst zustande, wenn V.K. Metal Tech:<\/p>\n

        \n
      • \n

        die Bestellung ausdr\u00fccklich annimmt,<\/p>\n<\/li>\n

      • \n

        mit der Ausf\u00fchrung der Leistung beginnt,<\/p>\n<\/li>\n

      • \n

        eine Rechnung ausstellt oder<\/p>\n<\/li>\n

      • \n

        die Leistung (ganz oder teilweise) erbringt.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

      • \n

        Ist der K\u00e4ufer Kaufmann, ist die schriftliche Best\u00e4tigung durch V.K. Metal Tech ausschlie\u00dflich ma\u00dfgebend f\u00fcr den Inhalt von Bestellungen und Vereinbarungen, sofern der K\u00e4ufer nicht unverz\u00fcglich schriftlich widerspricht. Dies gilt insbesondere f\u00fcr m\u00fcndliche oder telefonische Bestellungen. Eine Mitteilung an V.K. Metal Tech gilt nicht mehr als \u201eunverz\u00fcglich\u201c, wenn sie nicht innerhalb von sieben Tagen eingeht.<\/p>\n<\/li>\n<\/ol>\n

        III. Liefertermin, Lieferumfang, Verzug<\/h4>\n
          \n
        1. \n

          Liefertermine und -fristen sind nur ann\u00e4hernd, es sei denn, V.K. Metal Tech hat eine ausdr\u00fcckliche schriftliche Zusage gegeben. Vers\u00e4umt der K\u00e4ufer die rechtzeitige Kl\u00e4rung von Bestelldetails oder die Erbringung notwendiger Vorleistungen, verl\u00e4ngern sich die Liefertermine entsprechend. Liefertermine gelten mit der Meldung der Versandbereitschaft als eingehalten.<\/p>\n<\/li>\n

        2. \n

          V.K. Metal Tech ist zu Teillieferungen berechtigt, sofern diese ein zumutbares Mindestma\u00df nicht unterschreiten.<\/p>\n<\/li>\n

        3. \n

          Der K\u00e4ufer hat den Lieferschein zu pr\u00fcfen und zu unterzeichnen. Etwaige Beanstandungen sind V.K. Metal Tech unverz\u00fcglich schriftlich mitzuteilen; andernfalls gilt die anerkannte Liefermenge als akzeptiert.<\/p>\n<\/li>\n

        4. \n

          Bei Lieferverz\u00f6gerungen durch Betriebsst\u00f6rungen, beh\u00f6rdliche Ma\u00dfnahmen, Nichtbelieferung durch Vorlieferanten oder h\u00f6here Gewalt verl\u00e4ngert sich die Lieferfrist angemessen. H\u00f6here Gewalt schlie\u00dft Arbeitsk\u00e4mpfe wie Streiks oder rechtm\u00e4\u00dfige Aussperrungen im Betrieb von V.K. Metal Tech oder deren Zulieferern ein. Schadensersatzanspr\u00fcche des K\u00e4ufers sind in diesen F\u00e4llen im Rahmen der Grenzen von Ziffer VII (Allgemeine Haftungsbeschr\u00e4nkung) ausgeschlossen.<\/p>\n<\/li>\n

        5. \n

          Erleidet der K\u00e4ufer durch einen von V.K. Metal Tech verschuldeten Lieferverzug einen Schaden, kann er \u2013 unter Ausschluss weiterer Anspr\u00fcche \u2013 eine Entsch\u00e4digung in H\u00f6he von 0,5 % f\u00fcr jede Woche des Verzugs, maximal jedoch 5 % des Wertes des betroffenen Teils der Gesamtlieferung verlangen. Im Falle des Verzugs kann der K\u00e4ufer nach Setzung einer angemessenen Nachfrist und Erkl\u00e4rung der Ablehnung der Annahme der Leistung nach deren Ablauf vom Vertrag zur\u00fccktreten, wenn die Leistung innerhalb dieser Frist nicht erbracht wird. Weitergehende Anspr\u00fcche, insbesondere auf Schadensersatz, sind gem\u00e4\u00df Ziffer VII ausgeschlossen.<\/p>\n<\/li>\n<\/ol>\n

          IV. Preise und Zahlungsbedingungen<\/h4>\n
            \n
          1. \n

            Die von V.K. Metal Tech genannten Preise sind Nettopreise zuz\u00fcglich MwSt., Fracht, Zoll, Porto, Verpackung, Versicherung und sonstiger Auslagen, sofern nicht anders vereinbart. Bei fabrikneuen Maschinen gelten die am Tag der Lieferung g\u00fcltigen Preise. Verpackung wird zum Selbstkostenpreis berechnet und nicht zur\u00fcckgenommen.<\/p>\n<\/li>\n

          2. \n

            Mangels besonderer Vereinbarungen sind Rechnungen sofort ohne Abzug f\u00e4llig.<\/p>\n<\/li>\n

          3. \n

            Bei Zahlungsverzug ist V.K. Metal Tech berechtigt, Zinsen in H\u00f6he von 10 % \u00fcber dem Basiszinssatz zu berechnen. Die Geltendmachung eines weiteren tats\u00e4chlichen Schadens bleibt vorbehalten.<\/p>\n<\/li>\n

          4. \n

            Der K\u00e4ufer ist zur Aufrechnung nur berechtigt, wenn seine Gegenanspr\u00fcche rechtskr\u00e4ftig festgestellt, unbestritten oder von V.K. Metal Tech anerkannt sind.<\/p>\n<\/li>\n

          5. \n

            Ein Zur\u00fcckbehaltungsrecht steht dem K\u00e4ufer nur zu, wenn seine Gegenanspr\u00fcche aus demselben Vertragsverh\u00e4ltnis stammen und rechtskr\u00e4ftig festgestellt oder unbestritten sind.<\/p>\n<\/li>\n<\/ol>\n

            V. Transfer of Risk, Acceptance<\/h4>\n
              \n
            1. \n

              Risk passes to the Buyer at the beginning of disassembly or loading, even if partial deliveries occur or V.K. Metal Tech has assumed other costs, e.g., shipping or installation. If acceptance is required, it is decisive for the transfer of risk. Acceptance must be performed immediately upon the designated date or after notification of readiness; it may not be refused due to a non-essential defect.<\/p>\n<\/li>\n

            2. \n

              If dispatch or acceptance is delayed for reasons not attributable to V.K. Metal Tech, risk passes to the Buyer on the day of notification of readiness for dispatch or acceptance.<\/p>\n<\/li>\n<\/ol>\n

              VI. Warranty and Notice of Defects<\/h4>\n
                \n
              1. \n

                V.K. Metal Tech is liable for defects as follows:<\/p>\n

                  \n
                • \n

                  1.1<\/b> Warranty rights require that the Buyer has complied with their duty to inspect and give notice of defects pursuant to \u00a7 377 HGB.<\/p>\n<\/li>\n

                • \n

                  1.2<\/b> Warranty claims expire 12 months after delivery. Statutory limitation periods apply to claims for damages involving intent, gross negligence, or injury to life, body, or health.<\/p>\n<\/li>\n

                • \n

                  1.3<\/b> Warranty is excluded for the sale of used goods, except for claims mentioned in 1.2.<\/p>\n<\/li>\n

                • \n

                  1.4<\/b> If the goods are defective at the time of risk transfer, V.K. Metal Tech will, at its discretion, repair or replace the goods. Opportunity for supplementary performance must be given within a reasonable period.<\/p>\n<\/li>\n

                • \n

                  1.5<\/b> If supplementary performance fails, the Buyer may rescind the contract or reduce the purchase price.<\/p>\n<\/li>\n

                • \n

                  1.6<\/b> Claims are excluded for: insignificant deviations from agreed quality, natural wear and tear, or defects resulting from improper handling\/modifications by the Buyer or third parties after risk transfer.<\/p>\n<\/li>\n

                • \n

                  1.7<\/b> Claims for expenses related to supplementary performance (transport, labor, material) are excluded if the goods were moved to a location other than the Buyer’s branch, unless this corresponds to their intended use.<\/p>\n<\/li>\n<\/ul>\n<\/li>\n

                • \n

                  The rules of paragraph 1 do not apply to guaranteed characteristics or culpable breach of fundamental contractual duties, which are handled under Section VII.<\/p>\n<\/li>\n

                • \n

                  Characteristics are only guaranteed if expressly designated as such in the contract.<\/p>\n<\/li>\n

                • \n

                  Damages caused by external influence, improper setup, maintenance, or corrosion are excluded from warranty. Wear parts (rotating parts, drive parts, tools) are excluded.<\/p>\n<\/li>\n

                • \n

                  The Buyer must inspect goods immediately and notify V.K. Metal Tech in writing of defects or shortages within seven days of receipt. Hidden defects must be reported immediately upon discovery.<\/p>\n<\/li>\n

                • \n

                  Quality defects in partial deliveries do not justify rejecting the entire remaining quantity unless the Buyer proves the partial acceptance is unreasonable.<\/p>\n<\/li>\n

                • \n

                  If a defect is found, the Buyer must not modify or hand over the item to third parties, granting V.K. Metal Tech time to inspect and remedy the defect.<\/p>\n<\/li>\n

                • \n

                  Transport damages must be reported to the carrier immediately by the Buyer to preserve recourse rights.<\/p>\n<\/li>\n

                • \n

                  For justified complaints, V.K. Metal Tech may choose to repair or replace the goods.<\/p>\n<\/li>\n

                • \n

                  V.K. Metal Tech bears necessary expenses for defect remedy (transport, labor, etc.), provided the item was not moved from the place of performance.<\/p>\n<\/li>\n<\/ol>\n

                  VII. General Limitation of Liability<\/h4>\n
                    \n
                  1. \n

                    If the delivered item cannot be used as intended due to faulty advice or breach of collateral duties, the provisions of Section VI and VII.2 apply; further claims are excluded.<\/p>\n<\/li>\n

                  2. \n

                    For damages not occurring on the delivered item itself, V.K. Metal Tech is liable only in cases of:<\/p>\n

                      \n
                    • \n
                        \n
                      1. \n

                        Intent,<\/p>\n<\/li>\n<\/ol>\n<\/li>\n

                      2. \n
                          \n
                        1. \n

                          Gross negligence of owners\/executives,<\/p>\n<\/li>\n<\/ol>\n<\/li>\n

                        2. \n
                            \n
                          1. \n

                            Culpable injury to life, body, or health,<\/p>\n<\/li>\n<\/ol>\n<\/li>\n

                          2. \n
                              \n
                            1. \n

                              Fraudulently concealed defects or absence of guaranteed characteristics,<\/p>\n<\/li>\n<\/ol>\n<\/li>\n

                            2. \n
                                \n
                              1. \n

                                Liability under the Product Liability Act. In case of culpable breach of fundamental contractual obligations, V.K. Metal Tech is liable for foreseeable, typical damage; further claims are excluded.<\/p>\n<\/li>\n<\/ol>\n<\/li>\n<\/ul>\n<\/li>\n<\/ol>\n

                                VIII. Retention of Title, Security Interests<\/h4>\n
                                  \n
                                1. \n

                                  V.K. Metal Tech retains title to the goods until full payment. In case of breach of contract (e.g., late payment) or insolvency, V.K. Metal Tech is entitled to take back the goods.<\/p>\n<\/li>\n

                                2. \n

                                  V.K. Metal Tech is entitled to insure the goods against theft, breakage, fire, and water at the Buyer\u2019s expense unless the Buyer provides proof of their own insurance.<\/p>\n<\/li>\n

                                3. \n

                                  The Buyer may resell the goods in the ordinary course of business. The Buyer assigns all claims from such resale to V.K. Metal Tech in advance.<\/p>\n<\/li>\n

                                4. \n

                                  Processing or conversion of the reserved goods by the Buyer is always performed for V.K. Metal Tech.<\/p>\n<\/li>\n

                                5. \n

                                  V.K. Metal Tech shall release collateral if its value exceeds the secured claims by more than 20%.<\/p>\n<\/li>\n

                                6. \n

                                  V.K. Metal Tech acquires a lien on Buyer’s items that have come into its possession for the purpose of contract execution.<\/p>\n<\/li>\n<\/ol>\n

                                  IX. Impossibility and Non-Performance<\/h4>\n
                                    \n
                                  1. \n

                                    Delivery is subject to correct and timely self-supply.<\/p>\n<\/li>\n

                                  2. \n

                                    If performance becomes impossible due to circumstances for which V.K. Metal Tech is responsible, the Buyer may rescind the contract. Further claims for damages are excluded per Sections VI and VII.<\/p>\n<\/li>\n<\/ol>\n

                                    X. Place of Performance, Jurisdiction, Applicable Law<\/h4>\n
                                      \n
                                    1. \n

                                      Place of performance: 65428 R\u00fcsselsheim am Main, Germany.<\/b><\/p>\n<\/li>\n

                                    2. \n

                                      German law applies, excluding the UN Sales Convention (CISG). If the parties are merchants and headquartered in Germany, the exclusive place of jurisdiction is 65428 R\u00fcsselsheim am Main.<\/b><\/p>\n<\/li>\n

                                    3. \n

                                      Language of the contract: English or German.<\/p>\n<\/li>\n<\/ol>\n

                                      XI. Data Protection<\/h4>\n

                                      V.K. Metal Tech collects and processes personal data in accordance with the GDPR (DSGVO) for the purpose of contract fulfillment. Data is kept only as long as necessary for business or legal (tax) requirements. The Buyer has rights to information, correction, deletion, and data portability.<\/p>\n

                                      XII. Legal Validity<\/h4>\n
                                        \n
                                      1. \n

                                        Should any provision be invalid, the remaining contract remains in force.<\/p>\n<\/li>\n

                                      2. \n

                                        Changes must be in writing.<\/p>\n<\/li>\n

                                      3. \n

                                        Legally relevant declarations (rescission, notice of termination) require written form.<\/p>\n<\/li>\n<\/ol>\n

                                        \n
